Description & Requirements

OBJECTIVES

 

The Head of Legal is a strategic and operational leader responsible for overseeing all legal, compliance, and governance matters across the Group. This role ensures the Group’s legal risk is managed proactively while supporting business growth through robust intellectual property protection, regulatory compliance, and contractual support. The Head of Legal will lead one direct report to manage both high-level legal strategy and critical administrative frameworks that underpin the Group’s operations. This position requires a deep understanding of the education sector and the ability to provide decisive, business-oriented legal counsel.


KEY RESPONSIBILITIES

Corporate Governance & Group Structure

  1. Oversee the annual compliance management for incorporated entities, ensuring all statutory filings, annual returns, and regulatory obligations are met.
  2. Maintain and update the Group’s corporate structure, ensuring legal entities are properly governed and aligned with the Group’s strategic objectives.

Intellectual Property (IP) Strategy & Protection

  1. Lead the global trademark strategy, including:
  • Domestic trademark registrations, reviews, oppositions, and cancellations (revocations for non-use).
  • International trademark applications and maintenance (US, Canada, Australia, and other key jurisdictions).
  • Brand strategy migration, conversion, and portfolio optimization.
  1. Manage copyright protection and enforcement for the Group’s creative assets.

Business & Operational Support

  1. Brand & Marketing Support: Provide legal authorization letters, trademark registration certificates, and copyright documentation to support branding and marketing initiatives.
  2. Project Support: Provide legal advisory and documentation support for key educational projects.
  3. Commercial Contracts: Review, draft, and negotiate a wide range of commercial agreements, with a focus on safeguarding the Group’s interests.

Regulatory Compliance & Legal Training

  1. Monitor and analyze evolving laws, regulations, and enforcement trends in the education sector across relevant jurisdictions.
  2. Prepare and deliver regular legal training and updates to internal stakeholders, ensuring the business remains informed and compliant.
  3. Proactively identify regulatory risks and opportunities, providing actionable recommendations.

Legal Knowledge Management & Systems

  1. Oversee the “Legal Library” function for all Group entities, including:
  • Collection, tracking, and registration of all business licenses and permits.
  • Maintenance of constitutional documents with renewal/expiry reminders.
  • Tracking and registration of high-value contracts.
  • Key personnel and authorized signatory records.
  • Monitoring of critical suppliers and management of blocked/problematic supplier lists.
  • Development and maintenance of a master Group structure chart and legal risk analysis dashboard.
  1. Manage the legal tools platform, providing group-wide access and administration support.

External Counsel & Vendor Management

  1. Manage the external legal panel (firms and vendors), including contract negotiation, fee management, payment processing, and ongoing relationship management.
  2. Evaluate external counsel performance to ensure cost-effective, high-quality legal services.

Administrative & Operational Oversight

  1. Oversee and guide the direct report in managing:
  • Departmental logistics.
  • Festive gifts, courier services, and office supplies.
  • Event supports.
  • Internal and external visitor reception and coordination.
  • Administrative support for cross-functional meetings and school events.

Cross-Functional Collaboration

  1. Work closely with the Admin Department to support monthly meetings, school-specific events, and broader group initiatives.
  2. Act as a trusted legal partner to the leadership team and schools, balancing legal risk with commercial and academic pragmatism.


BASIC QUALIFICATION

 

Education: Bachelor’s Degree or above, with a major in Legal. Qualified lawyer with a valid practicing certificate.

 

Language: Excellent command in both written and spoken English and Chinese.

 

Working experience: Minimum 8 years of post-qualification experience, with at least 3–5 years in an in-house leadership or senior management role. Exposure to the education sector is an advantage.

  • Strong business acumen with the ability to provide clear, practical legal advice.
  • Exceptional organizational skills and attention to detail, particularly in managing legal documentation and compliance calendars.
  • Fluent in English and Chinese to effectively liaise with internal stakeholders and external parties.
  • Strong communication and negotiation skills, with the ability to influence at senior levels.
